Potential Client Consulting and Coaching Agreement

This Potential Client Consulting and Coaching Agreement (“Agreement”) is entered into on ___________[date] (“Effective Date”) by and between [Consultant/Coach name_________________ and____________________contact information] (“Consultant/Coach”) and [Potential client name___________________and __________________
contact information] (“Potential Client”).
	1.	Purpose. The purpose of this Agreement is to set forth the terms and conditions under which the Consultant/Coach will provide consulting and/or coaching services to the Potential Client during the initial consultation session.
	2.	Services. The Consultant/Coach agrees to provide consulting and/or coaching services to the Potential Client (the “Services”) during the initial consultation session. The Services to be provided by the Consultant/Coach may include, but are not limited to, an assessment of the Potential Client’s needs and goals, advice, guidance, and recommendations related to the Potential Client’s business or personal development goals.
	3.	Fees. The Consultant/Coach agrees to provide the initial consultation session to the Potential Client free of charge.	1	Confidentiality. The Consultant/Coach agrees to keep all information provided by the Potential Client confidential and will not disclose such information to any third party without the Potential Client’s prior written consent.
	4.	No Guarantee. The Consultant/Coach makes no guarantees, representations, or warranties, express or implied, with respect to the Services provided during the initial consultation session or the Potential Client’s future success or results.
	5.	Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Consultant/Coach is located.
	6.	Entire Agreement. This Agreement contains the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
	7.	Amendments. This Agreement may not be amended or modified except in writing signed by both parties.
	8.	Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
