Draft Bylaws for TogetherKC.org Article I: Name and Location: The name of this organization is TogetherKC.org, with its principal office located at 5512 East 100th Terrace, Kansas City, Missouri 64137.Article II: PurposeTogetherKC.org operates exclusively for charitable purposes as described in the Articles of Incorporation. Article III: Board of Directors Composition: The Board shall consist of a minimum of three (3) members. Terms: Directors shall serve three-year terms, renewable by board vote. Meetings: The Board shall meet at least quarterly. Special meetings may be called as needed. Quorum: A quorum shall consist of more than half of the current board members. Article IV: Officers and Duties President and CEO: Leads the organization, oversees strategic direction, and represents TogetherKC.org publicly. Vice President and Outreach Coordinator: Manages outreach programs and assists the President. Treasurer: Maintains financial records, prepares quarterly and annual reports, and ensures compliance with financial policies. The Treasurer shall have an MBA in Finance and manage all financial aspects of the organization. Outreach Coordinator: Supports community outreach and program implementation. Article V: Financial Management Bookkeeping: TogetherKC.org shall maintain detailed and accurate records of all financial transactions. Quarterly Review: Financial statements shall be reviewed quarterly by the Treasurer. Annual Audit: An annual audit or review shall be conducted to verify the accuracy of financial records. Financial Reports: The Treasurer shall prepare and present an annual financial report to the Board. Article VI: Conflict of Interest All board members shall annually disclose any potential conflicts of interest. In cases where a conflict is present, the board member shall recuse themselves from related discussions and voting. Article VII: Amendments These Bylaws may be amended by a two-thirds majority vote of the Board
